TERMS OF USE

01Acceptance of Terms

These Terms of Use govern your access to and use of the ORLO platform, including the web application, the Discord bot, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

02Description of Service

ORLO is a sales production and performance-tracking platform for insurance sales teams. It provides application submission and parsing, commission and override tracking, leaderboards, a rank system, quests, achievements, activity tracking, and related reporting tools. We may add, change, or remove features over time.

03User Accounts and Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date.

You are responsible for the accuracy and lawfulness of the data you submit, including insurance applications and client information, and for having the necessary rights and consents to submit it.

04Prohibited Uses

You agree not to use the Service to:

• Violate any applicable law or regulation, including insurance and data-protection laws.
• Submit false, fraudulent, or misleading production or application data.
• Access data or accounts that do not belong to you, or attempt to bypass access controls.
• Interfere with, disrupt, or place undue load on the Service or its infrastructure.
• Reverse engineer, scrape, or attempt to extract source code except as permitted by law.
• Upload malware or any content that infringes the rights of others.

05Intellectual Property

The Service, including its software, design, branding, and content provided by us, is owned by ORLO and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

You retain ownership of the data you submit. You grant us the rights necessary to host, process, and display that data to operate the Service for you and your organization.

06Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if necessary to protect the Service or other users. Upon termination, your right to use the Service ceases, though certain provisions survive as described below.

07Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that production calculations and parsed data will be free of inaccuracies.

08Limitation of Liability

To the maximum extent permitted by law, ORLO and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months preceding the claim.

09Governing Law

These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Oklahoma.

10Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
